Some projects may include optional third-party costs such as hosting, domains, software subscriptions or platform licensing. These are always discussed and approved before commencement.
3.Ongoing Subscription Services
Where you engage OzPro for ongoing weekly or monthly support, the following applies unless otherwise agreed in writing:
- Subscription services are billed in advance on a recurring schedule (weekly or monthly) as agreed.

- Make payments in accordance with the agreed terms and schedule.
Delays in receiving information, access or approvals from you may impact service delivery timelines. OzPro is not responsible for delays or issues arising from incomplete or inaccurate information provided by the client.
5.Confidentiality
We respect the confidentiality of your business information. OzPro will not disclose, share or use your confidential information for any purpose other than providing the agreed services, except where required by law or with your prior written consent.
You agree to maintain the confidentiality of any proprietary information, processes or materials shared with you in the course of our engagement that are not otherwise publicly available.
6.Intellectual Property
You retain full ownership of all business content, data, branding, materials and intellectual property that you provide to OzPro in connection with our services. This includes any content created specifically for your business as part of an agreed deliverable, such as website content, marketing materials or customer data.
OzPro retains ownership of its proprietary systems, templates, workflows, internal processes, methodologies, tools and software developed independently of or prior to your engagement, unless otherwise agreed in writing. This includes our internal frameworks, automation templates, system configurations and operational processes that form part of how we deliver our services.
Where OzPro develops custom software, applications or systems specifically for your business under a separate written agreement, the ownership and licensing of that work will be addressed in the relevant agreement.
7.Limitation of Liability
To the fullest extent permitted by law, OzPro's liability for any claim arising out of or in connection with our services is limited to the amount paid by you for the specific service giving rise to the claim, or the amount payable under your service agreement, whichever is less.
OzPro is not liable for any indirect, incidental, special or consequential damages, including loss of revenue, loss of profits, loss of business or loss of opportunity, except where liability cannot be excluded by law.
We provide our services with reasonable skill and care. However, we do not guarantee specific business outcomes, results or performance, as these depend on factors outside our control, including market conditions, client decisions and third-party platforms.
8.Third-Party Services
In delivering our services, we may use or recommend third-party platforms and tools, including CRM systems, scheduling software, payment processors, hosting providers and other business software. While we select providers that meet appropriate standards, we are not responsible for the performance, availability or practices of third-party services, and their use is subject to their own terms and policies.
9.Amendments and Updates
We may update or amend these Terms from time to time to reflect changes in our services, operations or legal requirements. Updated versions will be published on our website with a revised "last updated" date. Your continued engagement of our services after any changes constitutes acceptance of the updated Terms.
10.Termination
Either party may terminate services in accordance with the terms outlined in the applicable service agreement. We reserve the right to suspend or terminate services immediately if you breach these Terms, fail to make payment as agreed, or engage in conduct that we reasonably consider to be unlawful, harmful or inconsistent with the proper provision of our services.
Upon termination, you remain responsible for payment of any fees owed for services already provided up to the date of termination, and we will return or transition any client-owned materials as reasonably required.
11.General
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and OzPro regarding the matters addressed herein, except as supplemented by a separate written service agreement.
